MyREIO — Terms of Service

⚠️ This is a starting point, not finished language. Written so counsel edits rather than drafts. Bracketed items need decisions. Questions for counsel are collected at the end.


PRELIMINARY NOTES FOR COUNSEL

What MyREIO is. A software platform that scans public and licensed property data within a subscriber's territory, scores homeowners on likelihood to list, and delivers ranked leads with contact information. We do not make calls, send texts, or contact consumers on anyone's behalf.

Who subscribes. Licensed real estate professionals, individually or as teams.

What's sold. Exclusive ZIP-code territory plus the intelligence delivered into it. Territory is the product; the data is how it's delivered.

Current status. Pre-launch. One paying subscriber. No prior version of these terms has governed a meaningful customer relationship, so there is no legacy population to grandfather.

What changed since the last version. The prior terms describe a credit-based consumption model (e.g. "20,000 credits") which has been retired entirely. Subscriptions are now tier-based with monthly lead caps and ZIP-code territory allocations. Nothing in this draft should carry forward credit language.


1 · ACCEPTANCE

These Terms of Service govern access to and use of the MyREIO platform operated by MyREIO, LLC, a Florida limited liability company. By creating an account, completing a purchase, or using the Service, you agree to these Terms.

If you are entering into these Terms on behalf of a brokerage, team, or other entity, you represent that you have authority to bind that entity, and "Subscriber" refers to that entity.

You must be a licensed real estate professional in good standing in each jurisdiction where you use the Service.


2 · THE SERVICE

2.1 What we provide

MyREIO scans licensed and public data sources within Subscriber's assigned territory, applies a proprietary scoring model, and delivers ranked property records with available owner contact information. The Service may also include content generation, market briefings, and related tools as described on the plan Subscriber purchases.

2.2 What we do not provide

MyREIO does not:

initiate, place, or transmit calls, texts, or voice messages to any consumer;

provide legal, compliance, tax, or investment advice;

guarantee that any homeowner will sell, list, or respond;

guarantee any specific volume of leads (see 3.3);

act as a real estate broker, agent, or licensee.

2.3 Changes to the Service

MyREIO may modify, add, or remove features. Where a change materially reduces the Service, MyREIO will give at least [30] days' notice, and Subscriber may cancel without penalty before it takes effect.

3 · SUBSCRIPTIONS, TERRITORY, AND LEADS

3.1 Plans

Subscriptions are offered in tiers. Each tier includes a territory allocation expressed in credits and a monthly lead cap. Territory credits are a unit of territory allocation only — they are not currency, cannot be purchased separately, hold no monetary value, and are not refundable or transferable.

⚠️ Counsel: the prior terms used "credits" to mean prepaid consumption units. This is a different concept entirely. Flag if the word creates confusion and we'll rename it.

3.2 Territory

Subscriber selects ZIP codes up to their credit allocation. Each ZIP carries a credit weight reflecting its size.

Territory is exclusive. While a ZIP code is assigned to a Subscriber and that subscription is active, MyREIO will not assign that ZIP code to another Subscriber.

Exclusivity ends on cancellation, non-payment, or expiry, and the territory returns to general availability without notice.

Territory availability is not guaranteed in advance of purchase and is allocated on a first-come basis.

3.3 Lead volumes are maximums

Monthly lead figures stated for any plan are maximums, not guarantees. Actual volume depends on territory size, market conditions, data availability, and how many properties in that territory meet scoring thresholds.

MyREIO does not warrant that any minimum number of leads will be delivered.

3.4 Scoring

Scores reflect a proprietary model's assessment of likelihood to list within a defined window. Scores are predictions, not statements of fact, and MyREIO makes no representation that any scored property will be listed or sold.

3.5 Contact information

Owner contact information is obtained from third-party data providers. MyREIO does not warrant that it is accurate, current, or associated with the correct individual. Subscriber is responsible for verifying identity before acting on any record.


4 · TELEPHONE COMPLIANCE

4.1 MyREIO is not a telemarketer

MyREIO does not initiate, place, or transmit any telephone call, text message, or voice message to any person on Subscriber's behalf, and does not act as a telemarketer, telemarketing service provider, or seller as those terms are defined under the Telemarketing Sales Rule, 16 C.F.R. Part 310, or any analogous state statute.

4.2 Subscriber is the caller

Subscriber represents, warrants, and agrees that Subscriber:

(a) is the "seller" with respect to any telemarketing communication Subscriber initiates;

(b) maintains at Subscriber's own expense all registrations and subscriptions required to lawfully place such communications, including a Subscription Account Number issued by the Federal Trade Commission and any state-level registration where required;

(c) will screen every telephone number against the National Do Not Call Registry, all applicable state registries, and Subscriber's own internal do-not-call list before initiating any contact, and no less frequently than every thirty-one (31) days;

(d) will obtain and document any consent required under the Telephone Consumer Protection Act, 47 U.S.C. § 227, including prior express written consent where applicable;

(e) will observe all calling-time restrictions, caller-identification requirements, and opt-out obligations, and will honour revocation through any reasonable means within the period required by law;

(f) will maintain records sufficient to demonstrate compliance for the period required by applicable law.

4.3 No representation as to callability

Telephone numbers are provided as information only.

MyREIO makes no representation or warranty that any telephone number is lawful to call, text, or message. The absence of a flag, warning, or suppression on any record is not a representation that contacting that number is permitted. Subscriber must independently verify before every contact attempt.

4.4 Optional screening

MyREIO may offer optional screening under Subscriber's own registry access ("Screened Delivery"). Where Subscriber elects this and supplies valid credentials, MyREIO will submit numbers for screening under Subscriber's own subscription.

Screened Delivery transfers no compliance obligation to MyREIO. Screening reflects registry data as of the time of query and may not reflect subsequent registrations. Subscriber remains obligated to re-screen as required by law.

Where Subscriber does not elect Screened Delivery, or where it is unavailable in Subscriber's jurisdiction, numbers are delivered unscreened.

4.5 Credentials

Where Subscriber supplies registry credentials, Subscriber (a) represents they are validly issued to Subscriber and that Subscriber is authorised to permit their use for this purpose; (b) authorises MyREIO to use them solely to screen numbers delivered to Subscriber; (c) will notify MyREIO promptly if they lapse or are revoked; (d) acknowledges MyREIO may suspend delivery of telephone numbers if credentials appear invalid.


5 · FAIR HOUSING

Subscriber will not use the Service, or any data obtained through it, to make or influence any decision regarding the availability of housing, or to target or exclude any person, on the basis of race, colour, religion, sex, familial status, national origin, disability, or any other class protected under the Fair Housing Act, 42 U.S.C. § 3601 et seq., or applicable state or local law.

MyREIO's scoring model does not use race, ethnicity, or national origin as an input.

⚠️ Counsel: see Question 6. Some economic and geographic inputs may correlate with protected classes. We need guidance on disclosure and on what testing is advisable.


6 · PERMITTED USE AND RESTRICTIONS

6.1 Licence

MyREIO grants Subscriber a limited, non-exclusive, non-transferable, revocable licence to access the Service and use data delivered through it solely for Subscriber's own real estate business during the subscription term.

6.2 Restrictions

Subscriber will not:

(a) resell, redistribute, sublicense, or make data available to any third party, except employees or licensed agents operating under Subscriber's supervision and within Subscriber's brokerage; (b) use data outside the assigned territory; (c) scrape, mirror, or systematically extract data from the Service; (d) reverse engineer or attempt to derive the scoring model; (e) share account credentials, or permit access by anyone not authorised under Subscriber's plan; (f) use the Service to build or train a competing product; (g) use the Service in violation of any law.

6.3 On termination

On expiry or termination, the licence ends. Subscriber may retain records already delivered for the purpose of concluding existing client relationships, but may not use them for new prospecting and may not transfer them.

⚠️ Counsel: is that carve-out advisable, or should the licence terminate absolutely?


7 · FEES, BILLING, AND CANCELLATION

7.1 Fees

Fees are those stated at purchase. Subscriptions renew automatically at the stated interval until cancelled.

7.2 Payment

Payment is by card through our payment processor. Subscriber authorises recurring charges until cancellation. MyREIO does not store card details.

7.3 Price changes

MyREIO may change pricing on at least [30] days' notice. Changes take effect at the next renewal. Continued use after that constitutes acceptance.

7.4 Cancellation

Subscriber may cancel at any time. Cancellation takes effect at the end of the current billing period. Access and territory exclusivity continue until then, and no partial refunds are given for unused time.

7.5 Refunds

Fees are non-refundable except where required by law or expressly stated in writing.

⚠️ Counsel: at $297–$1,497/month, is a limited satisfaction window advisable to reduce chargebacks? See Question 7.

7.6 Failed payment

If payment fails, MyREIO may suspend the Service and release the territory after [10] days' notice. Restoration is subject to territory availability.

7.7 Annual plans

Annual subscriptions are billed in full in advance and are non-refundable. Cancellation prevents renewal but does not entitle Subscriber to a refund of the current term.


8 · DATA AND PRIVACY

8.1 Consumer data

The Service delivers information about property owners obtained from public records and licensed third-party providers. Property owners are not MyREIO customers and have not consented to receiving communications.

Subscriber acknowledges this and agrees to handle such information in accordance with all applicable privacy and consumer-protection law.

8.2 Subscriber data

MyREIO's handling of Subscriber's own information is governed by the Privacy Policy, incorporated by reference.

8.3 Third-party sources

Data originates in part from third-party providers subject to their own terms. MyREIO does not warrant accuracy, completeness, or currency, and may modify or discontinue any source without notice.

8.4 Aggregate use

MyREIO may use anonymised, aggregated data derived from platform activity — including outcomes — to improve the Service. Such data will not identify Subscriber or Subscriber's clients.

⚠️ Counsel: this is important to us. We use outcome data to improve the scoring model. Please confirm the language is sufficient, and whether opt-out must be offered.


9 · INTELLECTUAL PROPERTY

The Service, including software, scoring methodology, interfaces, and content, is owned by MyREIO and protected by intellectual property law. No rights are granted except the limited licence in Section 6.

Content generated for Subscriber and published under Subscriber's name — market briefings, social content, blog posts — may be used by Subscriber for their own marketing during the subscription term.

10 · DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, MyREIO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

MyREIO does not warrant that: the Service will be uninterrupted or error-free; any data is accurate, current, or complete; any score predicts actual behaviour; any minimum lead volume will be delivered; or any lead will result in a transaction.


11 · LIMITATION OF LIABILITY

To the fullest extent permitted by law, MyREIO will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost opportunity, arising from use of the Service.

MyREIO's total aggregate liability will not exceed the amount Subscriber paid in the [twelve (12)] months preceding the claim.

⚠️ Counsel: 12 months or 3? Note we ourselves rejected a vendor whose cap was 3 months as inadequate.


12 · INDEMNIFICATION

Subscriber will indemnify, defend, and hold harmless MyREIO from any claim, demand, penalty, fine, judgment, or expense — including reasonable attorneys' fees — arising from (i) Subscriber's outbound communications; (ii) breach of Sections 4, 5, or 6; (iii) any allegation that Subscriber violated the TCPA, TSR, any state telemarketing statute, or the Fair Housing Act; (iv) Subscriber's use of data delivered through the Service.


13 · SUSPENSION AND TERMINATION

MyREIO may suspend or terminate on notice where MyREIO reasonably believes Subscriber has breached these Terms, used the Service unlawfully, or created risk to MyREIO or others.

Where suspension is for suspected unlawful outreach, MyREIO may suspend delivery of telephone numbers only, leaving the remainder of the Service available.


14 · DISPUTE RESOLUTION

⚠️ Counsel: please advise. Options: (a) Florida state and federal courts, Collier County; (b) binding arbitration with class-action waiver; (c) informal resolution period followed by arbitration.

Given TCPA class-action exposure in Florida, arbitration with a class waiver may be worth considering — but it affects enforceability and consumer perception.


15 · GENERAL

Governing law — Florida, without regard to conflict of laws. Entire agreement — these Terms and the Privacy Policy supersede all prior agreements, including any prior version referencing credit-based consumption. Amendment — MyREIO may amend on [30] days' notice. Continued use constitutes acceptance. Severability — if any provision is unenforceable, the remainder stands. Assignment — Subscriber may not assign. MyREIO may assign in connection with a merger or sale of assets. Notice — to the email on the account.
